Terms of Service
Last updated: 14 October 2026
These Terms of Service, together with the Annotide Licence (the “Licence”), govern your use of the Annotide software (the “Software”) and form an end-user licence agreement (“EULA”) between you and R Squared Data Solutions, a Finnish sole trader (toiminimi), business ID 3544515-7 (“R Squared Data Solutions”, “we”, “us”); our postal address is on the Imprint. If you do not agree to these Terms, do not download, install or use the Software.
1. What Annotide is
Section titled “1. What Annotide is”Annotide is self-hosted data annotation software that you install and run on your own infrastructure or cloud account. You bring your own object storage and, where used, your own AI model endpoints. R Squared Data Solutions does not host the Software for you, does not have access to the media you annotate, and is not a party to your relationship with your cloud provider.
2. Editions and licence keys
Section titled “2. Editions and licence keys”The Software is licensed under the Elastic License 2.0 and comes in the editions described in full on the pricing page:
- Community — free, for up to three active users per installation, commercial use included, without a licence key.
- Team — paid, per-seat, for as many users as your purchased seats.
- Business — paid, per-seat, adding the Business features listed on the pricing page. A free 30-day trial of Business is available once per installation.
- Enterprise — paid, annual, invoiced, with everything in Business, plus volume pricing, offline licence keys for air-gapped or disconnected deployments, and a signed Enterprise agreement that may vary these Terms. Where a signed Enterprise agreement and these Terms conflict, the agreement prevails.
A seat is a human user who has been active within the preceding 30 days;
service accounts are not seats. docs/LICENSING.md in the Software’s
source describes how the Software counts them. More users than Community allows, and the Business
features, require a valid licence key purchased through
annotide.com/pricing. Moving, changing, disabling or
circumventing the licence key functionality, or removing functionality it
protects, breaches the Licence and these Terms.
3. Payment, Paddle and refunds
Section titled “3. Payment, Paddle and refunds”Paid licences are sold through Paddle.com Market Limited (“Paddle”), who acts as the merchant of record: Paddle sells the licence to you, collects payment, calculates and remits VAT/sales tax, issues invoices and receipts, and handles payment-method disputes, under Paddle’s own buyer terms. R Squared Data Solutions sets the price and grants the licence; Paddle handles the transaction. Refunds are handled as described in our refund policy.
4. Your responsibilities
Section titled “4. Your responsibilities”You are responsible for:
- the infrastructure you run the Software on, including its security, backups and availability;
- the object storage and model endpoints you connect, and any cost or data processing agreement you have with those providers;
- complying with the seat limits of your edition; and
- any data, including personal data, that you or your users upload, annotate or process using the Software. R Squared Data Solutions is not a processor of that data — see the Privacy Policy for why.
5. Telemetry and licence checks
Section titled “5. Telemetry and licence checks”Every installation, unless its administrator turns it off, sends a weekly, hashed, non-personal heartbeat and (for keyed installations) a daily licence refresh. Starting the free trial sends a one-off trial request. All three are described in full on the Telemetry page. None is required for the Software to function; the heartbeat and the refresh can be disabled from within your installation, and the trial request is only sent when an administrator asks for a trial. No licence enforcement depends on reaching a server we operate.
6. Intellectual property
Section titled “6. Intellectual property”The Software is licensed, not sold. Except for the rights expressly granted under the Licence, R Squared Data Solutions and its licensors retain all right, title and interest in the Software, including all copyright and patent rights. These Terms do not transfer any trademark rights in “Annotide” or related names and logos.
7. Warranty disclaimer
Section titled “7. Warranty disclaimer”To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or that it will meet your requirements.
8. Limitation of liability
Section titled “8. Limitation of liability”Community edition. The Community edition is provided free of charge. To the maximum extent permitted by applicable law, R Squared Data Solutions is not liable for any damages arising out of or relating to these Terms or your use of the Community edition, whether in contract, tort or otherwise, as the Licence itself provides.
Paid editions. To the maximum extent permitted by applicable law, R Squared Data Solutions’ total aggregate liability arising out of or relating to these Terms or a paid licence, whether in contract, tort or otherwise, is limited to the total fees you paid for the Software in the twelve (12) months preceding the event giving rise to the claim.
Excluded damages. In no event will R Squared Data Solutions be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or business, even if advised of the possibility of such damages. You run the Software on your own infrastructure and keep your data in your own storage, so backing up that data is your responsibility (Section 4).
Nothing in these Terms excludes or limits liability for damage caused intentionally or through gross negligence, for death or personal injury, for fraud, or any other liability that cannot be excluded or limited under applicable law.
9. Consumer rights
Section titled “9. Consumer rights”These Terms are written for business-to-business (“B2B”) licensing. If you are buying as a consumer (a natural person acting outside your trade, business, craft or profession) under the law of the EU/EEA member state or other jurisdiction in which you reside, nothing in these Terms limits any mandatory consumer-protection right you have under that law — including statutory withdrawal rights, which Paddle’s buyer terms separately describe for digital purchases. Where these Terms conflict with a mandatory consumer right, the mandatory right prevails.
10. Termination
Section titled “10. Termination”Breach of the Licence. If you use the Software in breach of the Licence, that use is not licensed and all your licences under it end automatically, the Community edition included, as the Licence’s own Termination clause provides. If we notify you of the breach and you stop all of it within 30 days of receiving the notice, your licences are reinstated retroactively; a further breach after that ends them permanently.
Breach of these Terms. We may terminate a paid licence if you materially breach these Terms in a way that is not also a breach of the Licence, and do not cure the breach within 30 days of our notice. Your right to run the Community edition under the Licence is then unaffected.
Termination does not entitle you to a refund except as described in the refund policy.
11. Changes to these Terms
Section titled “11. Changes to these Terms”We may update these Terms from time to time. We will post the updated version on this page with a new “Last updated” date. Continued use of the Software after an update constitutes acceptance of the revised Terms for new purchases and renewals; it does not retroactively change the terms of a licence period you have already paid for.
12. Governing law and disputes
Section titled “12. Governing law and disputes”These Terms are governed by the laws of Finland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or in connection with these Terms that cannot be resolved informally will be settled by the Helsinki District Court (Helsingin käräjäoikeus) as the court of first instance, save where a mandatory consumer-protection rule under Section 9 gives you the right to bring proceedings in your own jurisdiction, or the right to the protection of the law of your country of residence, instead.
13. General
Section titled “13. General”If a provision of these Terms is found invalid or unenforceable, the rest of these Terms remains in force and the provision is applied to the greatest extent permitted. Our not enforcing a provision is not a waiver of it. These Terms, the Licence and, where one is signed, an Enterprise agreement are the entire agreement between you and us about the Software.
